Terms of Service

Effective Date: July 10, 2026

These Terms govern your use of northcarolinaregisteredagent.co (the "Site") and the registered agent service (the "Service") offered by North Carolina Registered Agent.co ("we," "us," "our"). Using the Site or purchasing the Service means you accept the terms below.

1. What's Included in the Service

• A physical North Carolina street address that satisfies the state's registered agent requirement
• Acceptance of service of process, court papers, and official state correspondence at that address during business hours
• Same-day scanning and portal delivery of documents received on your behalf
• A secure online document portal
• Compliance reminders ahead of North Carolina's April 15 annual report deadline

We provide document handling and compliance reminders. We are not a law firm, accountant, or general-purpose filing service beyond what's described here and on our LLC formation pages.

2. Who Can Enroll

You must be at least 18 years old and authorized to act for the entity you're enrolling. Information supplied at signup — entity name, contact details, formation state — must be accurate and kept current.

3. Pricing

• Registered agent service is a flat $99 per year, billed at enrollment and each renewal
• Any price change comes with at least 30 days' advance notice to your account
• LLC formation service, where purchased, is a separate flat $199 fee
• State filing fees (formation, annual report, agent-change filings) are paid directly to the North Carolina Secretary of State and are never bundled into our $99 or $199

4. Billing and Payment

• Your payment method on file is charged at enrollment and each renewal date
• A failed charge may pause active service until it's resolved; we'll contact you first
• We don't offer prorated refunds for partial unused periods as a standard practice, though unusual situations are reviewed case by case

5. Renewal and Cancellation

• Service renews automatically each year unless cancelled beforehand
• To cancel, email support@northcarolinaregisteredagent.co before your renewal date
• Cancellation takes effect at the end of your current paid term
• Once cancelled, it's your responsibility to name a replacement registered agent with the North Carolina Secretary of State to keep your entity in good standing

6. Your Obligations

• Keep entity and contact information accurate and updated
• Check your portal regularly and act on scanned documents promptly — an unread scan does not pause a legal deadline
• Maintain your entity's good standing independent of anything we do
• Use our address solely for its registered-agent purpose, not as a general business mailing address

7. How Documents Are Handled

• We accept deliveries during normal business hours, Monday through Friday, 9 AM to 5 PM Eastern
• Service of process is scanned and posted to your portal the same business day, with no cap on volume
• Routine state or IRS mail receives the same free scan-and-portal treatment for your first three pieces each calendar year; beyond that allowance, or if you'd prefer the physical piece mailed to you instead of just scanned, it's a separate per-piece charge
• We are not responsible for the legal effect or contents of anything delivered to us
• Physical originals are held for a limited period after scanning and then securely destroyed

8. Not Legal Advice

Nothing we publish, send, or tell you constitutes legal advice. For guidance on your specific situation, consult a licensed North Carolina attorney.

9. Limits on Our Liability

To the extent permitted by law:

• Our total liability for any claim related to the Service is capped at the amount you paid us in the preceding 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for delays caused by circumstances outside our control, including severe weather, postal service disruptions, or government shutdowns

10. Indemnification

You agree to defend and hold us, our owners, and our staff harmless from third-party claims or costs (including reasonable attorney fees) arising from your use of the Service or a breach of these Terms.

11. Governing Law

These Terms are governed by North Carolina law, with disputes resolved in North Carolina courts.

12. Updates to These Terms

We may revise these Terms periodically; the version posted here, with its effective date, is current. Continued use of the Site after a revision means you accept the change.

13. Severability

If a provision of these Terms is found unenforceable, the rest remain in effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, form the complete agreement between you and North Carolina Registered Agent.co concerning the Service.
