The Core Function

A registered agent is the person or entity officially authorized to accept legal documents and government correspondence for your business. When someone sues your LLC, the complaint gets delivered to your registered agent. When the Secretary of State sends compliance notices, they go to your registered agent address.

The agent does not provide legal advice or represent your business. They accept, record, and scan documents so you can respond within required timeframes.

Who Qualifies Under § 55D-30

Three categories, and only three:

  • An individual living in North Carolina
  • A domestic corporation, nonprofit, or LLC whose business office sits at the same address as the registered office
  • A foreign corporation, nonprofit, or LLC authorized in North Carolina, with that same identical-office condition

Notice who is missing: your own company. The Secretary of State's instructions restrict the appointment to an agent "other than your own entity," which makes North Carolina one of the few states to put the self-appointment ban in writing instead of leaving it implied. A human owner who lives in NC can still serve in a personal capacity. The entity itself cannot.
